This End User License Agreement and Platform Terms (the “Agreement”) is entered into by and between Idomeneo Enterprises, Inc., a California corporation d/b/a Idomeneo (“Idomeneo,” “Company,” “Licensor,” or “we”), and the individual or entity accessing or using the Licensed Materials (defined below) (“you” or “User”). By clicking “accept,” checking an acknowledgment box, accessing, browsing, downloading, registering for, purchasing, subscribing to, or otherwise using any Licensed Materials, you agree to be bound by this Agreement.
If you are entering into this Agreement on behalf of a business or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
This Agreement governs access to and use of Idomeneo’s current and future websites, portals, memberships, communities, resource libraries, templates, forms, training materials, assessments, calculators, workflows, checklists, downloadable resources, software features, online tools, applications, AI-enabled features, and other digital or technology-enabled offerings, whether free or paid, that are made available by Idomeneo (collectively, the “Licensed Materials”).
This Agreement is intended to apply to prospective clients, leads, subscribers, purchasers of stand-alone offerings, members, website users, portal users, and other authorized users of the Licensed Materials.
If you later enter into a separate written agreement with Idomeneo for retained services, project services, subscription services, consulting services, staffing services, or other professional services (a “Client Agreement”), that separate Client Agreement will govern those purchased services. In the event of a conflict between this Agreement and a signed Client Agreement, the Client Agreement will control solely with respect to the services, deliverables, platform access, fees, and obligations expressly covered by that Client Agreement.
This Agreement does not incorporate any other agreement by attachment or exhibit, and no service relationship is created unless and until Idomeneo separately agrees in writing to provide specific services.
Subject to your compliance with this Agreement, Idomeneo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Licensed Materials solely for your own internal business evaluation, education, or other authorized business use, and only in the manner permitted by this Agreement.
The Licensed Materials are licensed, not sold. No ownership rights are transferred to you.
You may use the Licensed Materials only if you are at least 18 years old and legally able to enter into binding contracts.
You are responsible for all activity occurring through your account, login credentials, devices, systems, or authorized users. You must keep credentials secure and notify Idomeneo promptly of any suspected unauthorized access or security incident involving the Licensed Materials.
Except as expressly authorized in writing by Idomeneo, you will not, and will not permit any third party to:
You may provide information, files, responses, questionnaire answers, workforce data, company information, or other materials in connection with your use of the Licensed Materials (collectively, “User Inputs”). You represent and warrant that you have all rights, consents, and authority necessary to provide the User Inputs and to permit Idomeneo to use them as contemplated by this Agreement.
You remain solely responsible for the accuracy, completeness, legality, and appropriateness of User Inputs. Idomeneo may rely on User Inputs without independent verification.
You grant Idomeneo a non-exclusive, worldwide, royalty-free license during the term of this Agreement to host, use, reproduce, transmit, process, adapt, and display User Inputs as reasonably necessary to operate, maintain, support, improve, and provide the Licensed Materials, to enforce this Agreement, and to comply with law.
Your use of the Licensed Materials is also subject to any posted Privacy Policy, Cookie Policy, SMS Terms, community rules, or similar supplemental terms made available by Idomeneo, each as may be updated from time to time.
If you provide contact information, submit a form, register for an event, join a waitlist, request information, purchase access, or otherwise opt in, you consent to receive administrative, transactional, service-related, and, where permitted by law and your consent choices, marketing communications from Idomeneo by email, phone, and text message. Message frequency may vary. Message and data rates may apply. You may opt out of marketing emails through the unsubscribe function and opt out of texts by replying STOP, subject to any lawful exceptions for transactional or service communications.
Certain Licensed Materials may be offered for a fee, recurring subscription, implementation charge, or other purchase price. By purchasing or subscribing, you agree to pay all applicable fees, taxes, and charges in accordance with the applicable order page, checkout terms, invoice, or order form.
Unless otherwise stated, recurring subscriptions automatically renew for successive billing periods until canceled in accordance with the applicable offering terms. Past-due amounts may bear a finance charge at the lesser of 1.5% per month or the maximum rate permitted by law. Idomeneo may suspend or terminate access for nonpayment.
Except as required by law or expressly stated otherwise in writing, fees are non-refundable.
As between the parties, Idomeneo and its licensors own all right, title, and interest in and to the Licensed Materials, including all software, content, text, graphics, designs, forms, templates, videos, reports, methodologies, workflows, prompts, compilations, trade secrets, trademarks, service marks, copyrights, and other intellectual property rights therein.
Except for the limited license expressly granted in this Agreement, no right or license is granted by implication, estoppel, or otherwise.
Idomeneo retains ownership of all generalized ideas, concepts, know-how, methods, models, techniques, skills, and experience used, developed, or gained in connection with the Licensed Materials.
“Confidential Information” means non-public information disclosed by one party to the other in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
Each party will protect the other party’s Confidential Information using at least reasonable care and will use it only as necessary to exercise rights or perform obligations under this Agreement. A receiving party may disclose Confidential Information to employees, contractors, professional advisors, and service providers who have a need to know and who are bound by confidentiality obligations.
Confidential Information does not include information that: (a) is or becomes public through no wrongful act; (b) was lawfully known to the receiving party without restriction before receipt; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of the disclosing party’s Confidential Information.
Nothing in this Agreement restricts Idomeneo from using aggregated, de-identified, or anonymized data that does not identify you or any individual employee.
The Licensed Materials are provided for informational, educational, administrative support, and operational support purposes only. They do not constitute legal advice, tax advice, accounting advice, insurance advice, or any other licensed professional advice.
The Licensed Materials are not tailored to your specific facts, workforce, industry, collective bargaining obligations, benefit-plan terms, payroll practices, or jurisdiction, and may not reflect the most current legal or regulatory developments.
You may not use the Licensed Materials as a substitute for advice from qualified legal, tax, accounting, insurance, or other licensed professionals.
Use of the Licensed Materials does not create an attorney-client relationship, fiduciary relationship, employer-of-record relationship, co-employment relationship, agency relationship, or retained consulting relationship.
You remain solely responsible for all employment, payroll, benefits, tax, reporting, classification, compensation, leave, handbook, training, safety, workers’ compensation, employee relations, and compliance decisions, actions, filings, implementation steps, omissions, and outcomes, and for compliance with all applicable federal, state, and local laws.
Any reliance on the Licensed Materials is at your sole risk. Idomeneo shall not be responsible for any action taken, not taken, adopted, implemented, delayed, or omitted by you or any third party in reliance on the Licensed Materials.
Idomeneo does not warrant that the Licensed Materials are complete, accurate, current, error-free, suitable for your specific circumstances, or sufficient to satisfy every legal or regulatory requirement. Employment laws change frequently and vary by jurisdiction.
The Licensed Materials may integrate with, link to, embed, or rely on third-party platforms, applications, websites, payment processors, SMS providers, AI providers, cloud hosting providers, payroll systems, benefits systems, video platforms, calendar tools, e-signature tools, or other third-party services (collectively, “Third-Party Services”).
Idomeneo does not control and is not responsible for Third-Party Services, including their availability, security, legality, accuracy, or data practices. Your use of Third-Party Services is governed by the applicable third-party terms and policies.
Idomeneo may modify, update, replace, suspend, discontinue, or remove any Licensed Materials or features at any time, with or without notice, to the fullest extent permitted by law.
Idomeneo may also impose or revise usage limits, eligibility criteria, technical requirements, feature access levels, or subscription tiers.
This Agreement begins when you first access or use any Licensed Materials and continues until terminated.
Idomeneo may suspend or terminate your access immediately, with or without notice, if Idomeneo reasonably believes that: (a) you breached this Agreement; (b) your use presents a security risk or legal risk; (c) you failed to pay amounts due; (d) your conduct could harm Idomeneo, other users, or third parties; or (e) suspension or termination is required by law or a third-party provider.
You may stop using the Licensed Materials at any time. If you hold a paid subscription, cancellation will be governed by the applicable offering terms.
Upon termination, the license granted to you ends immediately and you must cease all use of the Licensed Materials. Sections that by their nature should survive termination will survive, including sections on fees owed, intellectual property, restrictions, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and miscellaneous terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” IDOMENEO DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SYSTEM INTEGRATION, QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
IDOMENEO DOES NOT WARRANT THAT THE LICENSED MATERIALS WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL CODE, OR THAT DEFECTS WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDOMENEO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SUCCESSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE LICENSED MATERIALS, WHETHER THE CLAIM IS BASED IN CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IDOMENEO’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE LICENSED MATERIALS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).
FOR THE AVOIDANCE OF DOUBT, THE LIMITATIONS SET FORTH IN THIS SECTION APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
NOTHING IN THIS AGREEMENT LIMITS OR EXCLUDES LIABILITY TO THE EXTENT SUCH LIMITATION OR EXCLUSION IS PROHIBITED BY APPLICABLE LAW. UNDER CALIFORNIA LAW, CONTRACTUAL LIMITATION-OF-LIABILITY PROVISIONS ARE NOT ENFORCEABLE TO LIMIT LIABILITY FOR INTENTIONAL TORTS OR OTHER CLAIMS TO THE EXTENT PROHIBITED BY CALIFORNIA CIVIL CODE SECTION 1668.
You will defend, indemnify, and hold harmless Idomeneo and its affiliates, officers, directors, employees, contractors, licensors, service providers, successors, and agents from and against any and all third-party claims, actions, proceedings, investigations, damages, judgments, settlements, penalties, fines, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Idomeneo reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you will cooperate fully in the defense of that matter.
You acknowledge that unauthorized use or disclosure of the Licensed Materials or Confidential Information may cause irreparable harm for which monetary damages may be inadequate. In that event, Idomeneo may seek injunctive or equitable relief without the necessity of posting bond, in addition to any other remedies available at law or in equity.
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles.
The parties will first attempt in good faith to resolve any dispute informally. If informal resolution is unsuccessful, either party may request nonbinding mediation in Los Angeles County, California. If mediation does not resolve the dispute, either party may bring the matter exclusively in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction and venue of those courts.
To the fullest extent permitted by law, any claim arising out of or related to this Agreement must be brought on an individual basis and not as part of any class, consolidated, or representative action.
This Agreement constitutes the entire agreement between you and Idomeneo concerning the Licensed Materials and supersedes all prior or contemporaneous understandings on that subject, except for any separate signed Client Agreement or supplemental terms expressly incorporated by reference.
If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect.
Idomeneo’s failure to enforce any provision of this Agreement is not a waiver of future enforcement.
You may not assign this Agreement without Idomeneo’s prior written consent. Idomeneo may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.
Electronic signatures, click-through acceptance, and electronic records are binding and admissible to the same extent as original paper records.
